ThinkKait LLC provides coaching programs, courses, sprints, consultation calls, and related services (collectively, "Services"). These Terms govern all purchases made through our external platforms, including Stripe, Calendly, and other payment processors, except where a separate agreement applies.

1. Overview of Services

ThinkKait LLC offers various coaching programs, courses, sprints, VIP packages, and related services. Each Service may have specific delivery methods, requirements, and policies that will be communicated upon purchase.

For custom packages or high-ticket coaching programs, a separate contract may apply and supersedes these Terms where applicable.

Soul + Systems Academy

The Soul + Systems Academy provides lifetime access to pre-recorded course content.

Soul + Systems Academy Membership

The Soul + Systems Academy Membership provides community support for a specified period, including access to the Systeme.io community and monthly community calls (Q&As, review sessions, workshops). The Membership is available as a month-to-month subscription or as a bundle package (buy 3 months, get 1 free).

2. Payment Terms

We accept payment via Stripe and other payment processors. Payment plans, if available and selected, are subject to the following terms:

Payment Plans: By choosing a payment plan, you agree to complete all scheduled payments in full as outlined at checkout. The first payment is due immediately upon enrollment, and subsequent payments will be processed automatically according to the schedule presented at checkout. Payment plans may include additional fees compared to pay-in-full options.

Payment Obligations: You are required to pay the full amount for the Service, even if you cancel or stop using the Service after any applicable refund period.

Late Payments: If a payment is missed, we reserve the right to suspend access to our Services until payment is made. A late fee may be applied for missed payments.

Collection and Legal Fees: You are responsible for any collection costs or legal fees if we need to pursue legal action to recover overdue payments.

3. Refund Policy

Soul + Systems Academy: We offer a 14-Day "I'm Thrilled or It's Free" Money-Back Guarantee. If you are not completely satisfied for any reason, email us at hello@thinkkait.com within 14 days of purchase to request a full refund. This applies even though you receive immediate access to all module content upon purchase.

Soul + Systems Academy Membership: All membership purchases, whether month-to-month or bundle packages, are non-refundable. For month-to-month subscriptions, you must email hello@thinkkait.com at least 10 days before your next billing cycle to cancel future payments. Failure to cancel within this timeframe will result in being charged for the next billing cycle.

Sprints, Courses, and Other Offers: Unless specifically stated at checkout, all purchases under $100 are final and non-refundable.

Consultation Calls: Refunds or reschedules are available up to 24 hours before the scheduled time. Cancellations within 24 hours of the session will not be refunded but may be rescheduled once at no additional charge. No-shows or late arrivals beyond 15 minutes will forfeit the session without refund.

3. Refund Policy

Sprints, Courses, and Other Offers: Unless specifically stated at checkout, all purchases under $100 are final and non-refundable.

4. Delivery of Services

Our Services are delivered through various methods including email, private online groups, video content, live calls, and other digital resources. Specific delivery methods will be communicated upon purchase.

5. Website Content and No Client Relationship

Content published on our website, blog, social media, and other platforms is for informational purposes only. Viewing or consuming our free content does not establish a client-coach relationship. A formal client relationship is only established through explicit enrollment in paid programs or through a signed coaching agreement.

Participation in short-term offerings such as sprints, challenges, or workshops does not establish a formal ongoing client relationship unless explicitly stated otherwise.

6. Disclaimers and No Professional Advice

No Guarantee of Outcomes: While our programs are designed to provide effective strategies and tools, we do not guarantee specific results or outcomes. Success depends on various factors, including individual effort and implementation.

No Professional Advice: The information and Services provided are for educational and informational purposes only and do not constitute professional advice (legal, financial, medical, or otherwise). You should consult with appropriate professionals for specific advice tailored to your situation.

Your Responsibility: You acknowledge that you are using our Services at your own risk. You are solely responsible for any decisions, actions, or implementations based on the information provided in our Services.

Force Majeure: ThinkKait LLC shall not be held liable for delays or failure to deliver services due to events beyond our control, including but not limited to natural disasters, pandemics, internet outages, or government actions.

7. Limitation of Liability

To the maximum extent permitted by law, ThinkKait LLC and its officers, employees, agents, and affiliates shall not be held liable for any claims, damages, losses, or liabilities of any kind, whether direct or indirect, arising from:

a) Your use of, or inability to use, our Services; b) Any advice, information, or recommendations provided; c) Any errors or omissions in the content; d) Any decision made or action taken by you in reliance on our Services.

Our total liability for any claims related to these Terms shall be limited to the amount you paid for the specific Service in question.

You may use the materials for personal or business purposes but may not reproduce, distribute, or share them without express written permission.

10. Right to Refuse Service

ThinkKait LLC reserves the right to refuse service to any client at our sole discretion, including clients who engage in unlawful, harmful, or unethical behavior or who do not comply with the agreed-upon terms.

11. Non-Transferability of Rights

Participants may not transfer or assign their rights or obligations under these Terms to any third party without the express written consent of ThinkKait LLC.

12. Indemnification

You agree to indemnify, defend, and hold harmless ThinkKait LLC, its officers, directors, employees, agents, and affiliates from any claim, liability, damage, loss, or expense (including reasonable attorneys' fees) arising out of your use of our Services, your breach of these Terms, or your violation of any law or the rights of a third party.
